District Contractor Code of Conduct
The Board approved the District Contractor Code of Conduct that requires compliance from all contractors as well as their subcontractors doing business with the District. These standards supersede all prior written ethics policies adopted which are in conflict with these standards. Also, these standards are in conjunction with applicable provisions of the District's Procurement Manual and other applicable Board Rules, policies and procedures. All District contractors (prime and subcontractors) are required to disclose if they have a perceived or actual conflict-of-interest. If you have questions about whether your firm may have a conflict, please email [email protected] and BART’s Internal Audit staff will address your questions. A contractor should report a perceived or actual conflict-of-interest using the Contractor Conflict-of-Interest Declaration form. The declaration applies to all bidders, proposers, consultants and contractors, and each of their subcontractors or subconsultants (“Contractors”), seeking to do business or doing business with BART. The declaration is a requirement of a Solicitation as well as existing contracts on an ongoing basis when a Contractor detects or learns that an identified, perceived, or potential conflict‐of-interest exists per the Contractor Code-of-Conduct. The declaration is submitted by all Contractors on behalf of their firm and all subcontractors/team members. BART’s Internal Audit staff will coordinate evaluation of the declaration, and the District’s Ethics Officer will determine if a conflict does exist and the potential impacts that the conflict may have on your contract with BART. Please note that a potential conflict-of-interest does not necessarily disqualify Contractor from a BART contract(s).

Rate Audits of Consulting Firms
Upon request by the District, Proposers and those subconsultants proposed to be used on either a cost reimbursable or time and materials basis, shall submit EXHIBIT 3 Provisional Cost Reimbursement and Rate Data and EXHIBIT 4A Cost Disclosure Statement provided below.

For unaudited indirect cost schedules, BART conducts additional substantive testing to determine that the costs are allowable, reasonable and allocable in accordance with Federal Acquisition Regulations (FAR). Refer to American Association of State Highway Transportation Officials (AASHTO) Indirect Cost Rate Schedule for presentation and additional guidance on determining unallowable costs provided below.
